Collabworx Platform [refer definition 1(a)] is owned by AHOU Ventures LLP, a Limited Liability Partnership, having address at: Acer Forest Castle, S. 81/1, Mundhwa Road, NR Vrundawan, Pune, Maharashtra, India, 411036 (hereinafter referred as ‘Owner’). The firm is engaged in the business of providing advanced collaboration and communication platform designed specifically for the construction industry, enabling builders, contractors, vendors, and property owners to work together seamlessly on various project/s. With a focus on document management and communication, the CollabWorx platform eliminates the need for downloading and emailing files, images, documents etc., allowing users to view, share, and manage documents directly within the system developed in the CollabWorx platform.

The purpose of the CollabWorx platform is to provide cloud-based solution for project related document management and communication, featuring a backend system with roles and positions like project proponent, project manager and members, etc., on subscription plans. By centralizing project information and streamlining communication, the platform reduces administrative overhead and helps users stay organized throughout the project lifecycle. Key features such as group discussions, document sharing, and project archiving empower Collabworx platform users to efficiently manage construction projects without the risk of data duplication or outdated versions. The platform ensures that all Registered Users have access to the latest project documents, simplifying collaboration between different contractors and vendors.

The Collabworx platform is built to address the unique needs of the construction industry, providing users with a single point of access for all project-related data. Visitors and/or Registered Users can easily track project progress, collaborate with multiple parties, and access up-to-date documents without unnecessary downloads or manual updates. By enabling real-time communication and secure document handling, the platform minimizes miscommunication, keeps everyone informed, and ensures project transparency.

With flexible monthly pricing per project, users only pay for what they need, and the Collabworx platform offers a hassle-free payment system with automated billing. Whether managing multiple contractors or handling complex projects, Collabworx simplifies operations, reduces the risk of errors, and ensures that your project runs smoothly from start to finish.

To avail various services [refer definition 1(f)] available on the CollabWorx platform Visitor [refer definition 1(b)] has to become a Registered User [refer definition 1(c)] by providing Name, Organization Name, Contact Number, Email, Address, Location and Creating Password. By entering these details, the Visitor becomes a Registered User. By accessing the CollabWorx platform, the Registered User agrees to abide by and bound by the Terms and Conditions of the CollabWorx platform. The Terms and Conditions contained herein along with the Privacy Policy form an Agreement regulating our relationship with regard to the use of the CollabWorx platform by the Registered User. Please read this Agreement carefully. By accessing or logging on the CollabWorx platform the Visitor or Registered User accepts the terms and conditions and by default follows the CollabWorx platform. The Registered User is advised to regularly check for any amendments or updates to the terms and conditions from time to time.

The Owner of the CollabWorx platform reserves the right to modify the terms and conditions of the Agreement (“Terms of Use”) and Disclaimer without any prior notification. The Visitor or Registered User is advised to regularly review the Terms of Service. If the Visitor or Registered User does not agree with any of the Terms and Conditions and any amendments thereto, the Visitor or Registered User must not use the CollabWorx platform and/or Services provided by the Owner. These Terms and Conditions constitute a binding legal agreement between the Owner and Registered User/s; and govern legal rights, remedies, obligations and various other terms like limitations, jurisdiction, applicable law etc.

The Agreement between the Visitor/Registered User and the CollabWorx platform shall be subject to following Terms and Conditions: –

1.DEFINITIONS:

The terms wherever used shall unless contrary, carry the meaning as given under:

a.“CollabWorx platform” means and includes the website available at www.collabworx.in Internet and Google Play Store, or Apple App Store.

b.“Visitor” means and includes any person who visits the CollabWorx platform and who is not registered on the CollabWorx platform.

c.“Registered User” means and includes any person who is Registered on the CollabWorx platform through Creating User ID by providing Name, Email and Password.

d.“Licensee” refers to the individual or legal entity that has entered into End User License Agreement with the Licensor i.e., Owner to obtain a license to use the Collabworx platform. The Licensee is responsible for all subscription payments and compliance with the terms of this Agreement. The Licensee is entitled to create and authorize Users within the organization to access Collabworx platform on any number of computers or devices owned by the Licensee.

e.“User” refers to any individual authorized by the Licensee to access and interact with the Collabworx Platform within the scope of the Licensee’s rights under this Agreement. Users may include employees, contractors, vendors, real estate developers, project owners or any other individuals designated by the Licensee.

f.“Services” means all products, features, functionalities, and support provided by Owner through the CollabWorx platform, including but not limited to the SaaS application for data management, collaboration, communication, user support, updates, maintenance, and any related offerings made available to Visitors/Registered Users and Licensees.

g.“Agreement” means the Terms and Conditions contained herein along with End User License Agreement and any Privacy Policy of any other website/portals/application whose links are provided on the CollabWorx platform. It shall also include reference to this Agreement as and when amended, novated, supplemented varied or replaced.

2.ELIGIBILITY, REGISTRATION AND TERMINATION:

a) The CollabWorx platform can be accessed by visiting www.collabworx.in and Google Play Store, or Apple App Store. The CollabWorx platform can be used/accessed only by persons who can form a legally binding contract under the Indian Contract Act, 1872.

b) The Visitor and/or Registered User agrees that the Information provided by Registered User at the time of registration is true, complete, and correct. If the Information details are found not to be true (wholly or partly), the owner has the right in its sole discretion to reject the registration and debar the Registered User from using the Services of the CollabWorx platform and/or other affiliated website/applications without prior intimation whatsoever.

c) The Owner reserves the right at its sole discretion to terminate, refuse, restrict or suspend any Visitor and/or Registered User’s account at any time, for any reason, without notice, including when a Visitor and/or Registered User fails to abide by these Terms and Conditions, or any other policy or terms posted anywhere on the CollabWorx platform.

d) The Owner reserves the right at its sole discretion to terminate, refuse, restrict or suspend any Visitor and/or Registered User’s account at any time if any Visitor and/or Registered User:

i) uploads pornographic contents/photos/videos/links on the platform.

ii) uploads any detrimental or offensive contents/photos/videos/links or offensive comments/photos/videos/links pertaining to religion on the CollabWorx platform.

iii) Any content that promotes or incites violence, terrorism, illegal acts, or hatred on the grounds of race, ethnicity, cultural identity, religious belief, disability, gender, identity, or sexual orientation, or is otherwise objectionable.

e) The Visitor and/or Registered User or may be prohibited from creating a new account if Visitor and/or Registered User has been previously terminated as per the above-mentioned circumstances or for any other reason whatsoever objectionable by the Owner. If any Visitor and/or Registered User misuses the details of any other Registered User, then the Owner reserves the right at its sole discretion to terminate that Visitor and/or Registered User account and the owner reserves the right at its sole discretion to initiate appropriate legal action against the Visitor and/or Registered User.

f) The Visitor and/or Registered User is entitled to terminate the agreement at all times by deletion of his/her/their Account, thus disabling the use by Visitor and/or Registered User of the CollabWorx platform.

g) The Visitor and/or Registered User can close Registered User Account at any time by following the instructions on the CollabWorx platform.

h) Clauses of Indemnification, Limitation of Liability, CollabWorx platform License, Intellectual Property Rights Ownership, Term and Termination, and Applicable Law and Dispute Resolution and such other provisions which are intended to survive the termination, shall survive the expiry/termination of these User Terms in accordance with their terms.

3.FACILITIES FOR VISITORS:

The facilities available to Visitors on the CollabWorx platform are designed to offer a seamless introduction to the services and functionalities of the CollabWorx platform. Visitors can:

a) Browse the CollabWorx Platform:

Visitors can freely browse various sections of the Platform, including Home, The Product, About Us, Contact Us, and Blogs, to understand the features, benefits, and purpose of the CollabWorx platform.

b) Understand About the Owner and Services Provided:

Visitors have the opportunity to learn more about Owner, including its mission, vision, and the range of services it offers. This section serves as an informative resource for those considering using the platform’s services.

c) Redirection to Product Platform:

Visitors who wish to explore the product further can be redirected to the actual application login or sign-up page hosted separately from the Website.

d) Create an Account to Become a Registered User:

Visitors who wish to utilize the comprehensive features of the CollabWorx platform can easily create an account. This involves providing basic information, such as name (individual or Organization), address, email address, contact number, location and creating a password. By doing so, they transition from a Visitor to a Registered User, unlocking access to advanced functionalities.

e) Contact the Owner:

Visitors can find contact information for the Owner to ask questions, seek clarifications, or address any concerns. This facility ensures that potential users can engage directly with the company for support or inquiries before or after registration.

4.FACILITIES FOR REGISTERED USER:

The registered users enjoy a more enriched experience on the CollabWorx platform, gaining access to specialized services and features. These facilities include:

a) Browse and Login into the CollabWorx Platform:

Registered Users can log in to their accounts to access the platform’s features. Once logged in, they can navigate through various sections of the Platform, including Home, The Product, About Us, Contact Us, and Blogs, to understand the features, benefits, and purpose of the CollabWorx platform.

b) Platform Access:

Through redirection, Registered Users can log in or register on the product platform to access the SaaS application for data management, collaboration, and communication in construction projects.

c) Product Demonstration or Onboarding Support:

Upon expressing interest through the CollabWorx Platform, Registered Users may be contacted by the Platform team for personalized onboarding, product walkthroughs, or demo sessions.

d) Ongoing Communication:

Registered Users may receive emails and notifications about CollabWorx platform updates, events, and relevant support content as part of Owner’s engagement with Registered Users.

e) End User License Agreement (EULA):

The access, usage rights, and responsibilities of Registered Users, Licensees, and Users are governed by the terms of the End User License Agreement (EULA) entered into between the Licensee and the Owner.

f) Create and Manage Users:

Where the Registered User is also the Licensee or is acting on behalf of the Licensee, they may have the ability to create and authorize multiple Users within their organization to access and use the CollabWorx platform in accordance with the applicable End User License Agreement.

g) No Direct Services on Website:

All account-based features, subscription services, and platform usage facilities are hosted and managed separately on the product’s application and not on the CollabWorx platform.

h) Make Payments Through the Platform:

Registered Users can conduct financial transactions securely through the platform. They have the option to make payments using various methods, such as credit cards, debit cards, UPI, or digital wallets, ensuring a smooth and secure payment process.

i) Download Files and Reports:

Registered Users can download various project-related materials, such as images, links, videos, and PDF reports. This capability supports efficient documentation and reporting for audits and compliance purposes.

j) Contact the Owner:

Registered Users can reach out to the Owner for support, inquiries, or assistance with any aspect of using the platform, ensuring they have access to ongoing support throughout their experience.

5.CONDUCT OF REGISTERED USERS:

Registered Users are expected to act responsibly and lawfully while accessing or interacting with the CollabWorx platform. Without limiting any obligations set forth in the End User License Agreement (“EULA”), Registered Users agree to the following:

a) Compliance with Applicable Laws:

Registered Users shall ensure their use of the CollabWorx platform and associated Services complies with all relevant statutes, regulations, and legal standards. Any non-compliance shall be deemed a material breach of this Agreement.

b) Account Security:

Registered Users are solely responsible for maintaining the confidentiality and security of their account credentials. Any unauthorized use or access to their account shall be the sole responsibility of the Registered User, and the Owner shall bear no liability for such occurrences.

c) Prohibition of Inappropriate Content:

Registered Users shall not upload, post, or disseminate any content that is unlawful, defamatory, obscene, or otherwise objectionable. The dissemination of any content that infringes upon the intellectual property rights or privacy rights of any third party is strictly prohibited.

d) Respectful and Ethical Engagement:

Registered Users are mandated to engage in a manner that is respectful and courteous to all other users. Any behaviour that constitutes harassment, intimidation, or any form of unlawful discrimination will result in immediate termination of access to the platform.

e) Obligation to Report Violations:

Registered Users are obligated to promptly report any suspected violations of these Terms of Use or any illicit activities to the Owner. Failure to report such incidents may result in disciplinary action, including potential account suspension or termination.

6.USE OF CONTENTS AND RESTRICTIONS ON REGISTERED USER:

The Registered User agrees:

a) not to display, upload, modify, publish, transmit, update, share or otherwise make available on the CollabWorx platform, any content and/or material that is unlawful, unsolicited including unsolicited messages, e-mails, and/or material which contains viruses, trojans, worms, files or software intended to interrupt, corrupt, destroy, limit the use, access or functionality of the CollabWorx platform.

a) not to display, upload, modify, publish, transmit, update, share or otherwise make available on the CollabWorx platform, any content and/or material that is harmful, harassing, blasphemous, defamatory, libelous, obscene, pornographic, paedophilic, abusive, invasive of another person’s privacy, hateful or racially, ethnically objectionable, disparaging or relating to or encouraging money laundering or gambling etc.

c) not to display, upload, modify, publish, transmit, update, share or otherwise make available any content and/or material which is in violation of patents, trademark, copyright or any other proprietary rights of other person/people.

d) The Registered User can only access the contents available on the CollabWorx platform only for his/her purpose and shall not copy/modify/broadcast/share the content on the CollabWorx platform for anybody else.

e) EULA Prevails : These conduct requirements are supplemental in nature. In case of any conflict between these Terms of Use and the End User License Agreement (EULA), the provisions of the EULA shall prevail with respect to Registered Users’ access, usage rights, and limitations within the CollabWorx platform.

f) Enforcement and Remedies : Any breach of this clause may be dealt with in accordance with the enforcement provisions of the EULA, including but not limited to suspension, termination, or other remedial action as may be deemed appropriate by the Owner.

7.NOTIFICATION SETTINGS

The Registered User acknowledges that notifications are essential for the effective management and operation of the CollabWorx platform and integral to the Services provided. The Registered User understands that failure to receive such notifications may hinder their ability to manage projects and responsibilities effectively. The Registered User retains the right to modify notification preferences within the platform’s settings, subject to the Owner’s limitations. However, the Owner reserves the right to send critical notifications regarding account security, compliance, and other essential communications necessary for the protection of the Registered User’s interests and the integrity of the CollabWorx platform. The Registered User hereby consents and agrees to receive electronic communications from the Owner, which shall be transmitted via email. Such communications may pertain to, but are not limited to, the following categories:

a) Types of Notifications : The CollabWorx platform may send various types of notifications, including but not limited to Service-related notifications (e.g., account activity, security alerts, updates); Promotional or marketing communications; Event invitations, surveys, and feedback requests; Important policy changes or legal notices.

b) User Preferences : Registered Users can manage their notification preferences through their account settings, including opting in or out of marketing and promotional emails; selecting preferred communication channels (email, SMS, in-app notifications); customizing the frequency of certain notifications.

c) Changes to Notification Policies : The Owner reserves the right to modify notification practices and settings from time to time. Users will be informed of any material changes via notification or email.

d) Consistency with EULA : The Registered User acknowledges that certain notifications, including those related to system integrity, compliance obligations, and account security, are mandated under the End User License Agreement (EULA) and cannot be disabled. In case of any inconsistency between this Clause and the EULA, the EULA shall prevail.

e) Scope of Communication Consent : By continuing to use the platform, the Registered User affirms consent to receive electronic communications as outlined above, which may also be governed by the communication and data use provisions under the EULA and Privacy Policy.

8.LICENSE AND GRANT:

a) Grant of License : The CollabWorx platform provides and grants to the Registered User a limited, non-exclusive, non-transferable, revocable license to access, avail and use the Software Services as per the concerned subscription plans subjected to the payment of subscription fees as per the payment terms. This license does not include any resale or commercial use of the services, any collection or use of product listings, descriptions, or prices, or any derivative use of the Services.

a) Restrictions of Registered User : A Registered User/User shall not:

i) Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, or sell any information, software, products, or services obtained from the Services.

ii) Use the Services in any unlawful manner, for any unlawful purpose, or in violation of any applicable local, state, national, or international law or regulation.

iii) Access the Services by any means other than the interface provided by Owner to the Registered User, unless specifically authorized in a separate agreement.

iv) Attempt to gain unauthorized access to any portion or feature of the Services, or any other systems or networks connected to the Services or to any server of the Owner.

c) Effect of EULA : The rights and obligations related to the use of the CollabWorx platform, including creation and management of Users, subscription payments, and compliance requirements, are governed primarily by the EULA executed between the Licensee and the Owner. These Terms supplement but do not supersede the EULA

d) No Unauthorized Use : Any use of the platform beyond the scope of the EULA or these Terms is strictly prohibited, including but not limited to unauthorized copying, distribution, modification, or reverse engineering.

e) Licensee Responsibility : The Licensee/Registered User remains responsible for ensuring that all Users authorized by it comply with the EULA and these Terms.

f) Termination of License : The owner reserves the right to terminate Registered User’s license and access to the services without notice if Registered User/Users’ violate the Terms, misuse the platform, or engage in any illegal activity, nonpayment of subscription fees. Upon termination, Registered User/Users’ must immediately cease any use of the services by any means.

9. SUBSCRIPTION AND PAYMENT TERMS:

a) The Owner of the Platform offers its services on a subscription basis. A Registered User can choose from different subscription plans, each of which includes different features and pricing. The specific features and pricing details of each plan are available on the CollabWorx platform.

b) By subscribing to the concerned services, Registered User agree to pay the fees indicated at the time of subscription for the selected plan. All payments shall be made through the payment methods provided on the platform through concerned Payment Gateway by selecting credit card or debit card or UPI or net banking or other digital payment options.

c) A Registered User’s subscription will automatically renew at the end of each billing cycle (monthly or yearly, as applicable), and Registered User will be charged the then-current subscription fee unless you cancel your subscription before the renewal date.

d) A Registered User may manage or cancel subscription at any time by accessing Registered User’s account settings.

e) In the event that the EULA is not executed, access to the CollabWorx platform and its services may be restricted or suspended until such time that the subscription and payment terms are agreed upon.

f) All subscription plans are exclusive of applicable taxes. A Registered User is responsible for paying any taxes, duties, or other governmental fees that may apply to Registered User’s purchase of the Services.

g) Failure by the Licensee to fulfil payment obligations may result in suspension or termination of access to the CollabWorx platform, at the Owner’s sole discretion.

10. APPLICABLE LAWS, JURISDICTION AND DISPUTE RESOLUTION:

These terms shall be governed, interpreted, and construed in accordance with the laws of the Republic of India applicable from time to time. Any dispute, claim or controversy arising out of or relating to these User Terms or the breach, termination, enforcement, interpretation, or validity thereof or the use of the CollabWorx platform, the Service (collectively referred as “Disputes”) the parties shall attempt to settle the same amicably, through negotiation and consultation at such offices of the Owner as Owner may designate. In the event the dispute is not resolved internally between after at least 30 (thirty) days of negotiation, in good faith, the same shall be subject to binding and final arbitration in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time or in case the Arbitration and Conciliation Act, 1996 is no longer in force, as per any law relating to arbitration in force at the time of such reference. The reference shall be made to a sole arbitrator mutually appointed by the Owner and the Registered User. The place of the arbitration shall be Pune, Maharashtra, unless otherwise mutually agreed by the Owner and the Registered User. Subject to the above, any Dispute will be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India. Nothing in this clause shall prevent either party from seeking interim or injunctive relief from any competent court, where such relief is necessary to protect its rights pending the resolution of the dispute.

11. LIMITATION OF LIABILITY:

a) To the fullest extent permissible by law, in no event shall the Owner or its employees, directors, affiliates, group companies or agents be liable for any direct, indirect, special, consequential damages or damages of any other kind incurred by the Visitor/Registered User, User or any third party arising out of the Visitor/Registered User’s/Users’ access or use or inability to access or use the CollabWorx platform and/or its Services. The Information and Services displayed and provided through the CollabWorx platform may include inaccuracies. Additionally, a possibility exists that unauthorized additions, deletions and alterations could be made by third parties to the CollabWorx platform.

b) The Owner shall not be held liable and/or responsible for any fake identity, fake calls, fraud committed through people through the help of the CollabWorx platform. In any event, the Owner shall not be held liable for any loss or damage including without limitation, indirect or consequential loss or damage or any loss or damage whatsoever arising from loss of data arising out of, or in connection with, the use of the CollabWorx platform.

c) The Visitor/Registered User expressly agrees that the Owner shall not be responsible for the information posted and/or shared by the Visitor/ Registered User/User.

d) The Visitor/Registered User expressly agrees that Owner shall not be responsible and/or liable for any threatening, defamatory, obscene, unlawful, harmful, offensive, or illegal content or conduct of any other party or any infringement of another’s rights, including intellectual property rights.

e) The Visitor/Registered User specifically agrees that the Owner shall not be held responsible and/or liable for any content/data sent using and/or included on the CollabWorx platform or Service by any third party/parties.

f) The Owner shall not be liable for any damages resulting from the use of or inability to use the CollabWorx platform, including damages caused by wrong usage of the CollabWorx platform, SMS/email delivery issues, network issues, malware, viruses or any incorrectness or incompleteness of the Information.

g) The Owner shall not be responsible for any loss of communication/information of status update and benefits. All this information will be sent on mobile number and/or email ID registered with the Owner. The Owner will not be responsible for appropriateness of mobile or email or any other communication medium.

h) Notwithstanding anything contained herein, in any event, the liability of the financial or otherwise, suffered to the Owner of the CollabWorx platform shall be limited to the amount paid by the Registered User and shall not exceed such amount paid by the Registered User.

i) If Applicable Law does not permit the exclusion of certain warranties or the limitation or exclusion of liability, the scope and duration of such warranty exclusions and the extent of the liability of the Owner shall be the minimum permitted under Applicable Law.

j) Notwithstanding anything to the contrary, Owner’s aggregate liability arising out of or related to this Agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total subscription fees actually paid by the Licensee or Registered User to Owner during the Twelve months preceding the claim.

k) Owner shall not be liable for any damages resulting from unauthorized access to or use of the Visitor/Registered User’s account or the platform.

l) Nothing in this clause shall limit or exclude liability for death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited by applicable law.

12. DISCLAIMER:

The Owner endeavors to maintain the continuous operation and accessibility of the CollabWorx platform. However, the Owner expressly disclaims any liability for temporary unavailability of the platform resulting from technical issues, including but not limited to, server malfunctions, network disruptions, software failures, or any other circumstances beyond the Owner’s reasonable control. The Registered User acknowledges and agrees that such interruptions may occur and that the Owner shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the platform’s temporary unavailability. The Visitor/Registered User further agrees that it is their responsibility to remain informed about the status of the platform and to make any necessary adjustments in their use of the Services accordingly.

13. OBLIGATIONS, DUTIES AND RESPONSIBILITIES OF REGISTERED USER:

a) Registered Users shall provide accurate, current, and complete information during registration and maintain and promptly update such information to keep it accurate and complete.

b) Registered Users are responsible for safeguarding their account credentials and must notify the Owner immediately upon any unauthorized use or security breach related to their account.

c) Registered Users shall comply with all applicable laws, regulations, and these Terms of Use, including the End User License Agreement governing the use of the CollabWorx platform.

d) Registered Users agree to use the platform solely for lawful purposes and within the scope of the license granted under the End User License Agreement. Any use of the platform that violates intellectual property rights, privacy rights, or any other third-party rights is prohibited.

e) Registered Users must conduct themselves in a professional, respectful manner and refrain from any behaviour that is abusive, discriminatory, harassing, or disruptive.

f) Registered Users must promptly report any suspicious or improper activities or any violations of these terms to the Owner.

g) Registered Users agree to indemnify, defend, and hold harmless Owenr and its affiliates from any claims, damages, liabilities, or expenses arising from their violation of these obligations or misuse of the platform.

14. WARRANTY AND INDEMNIFICATION:

a) The CollabWorx platform is provided by the Owner, on “AS IS” and “AS AVAILABLE” basis without express or implied warranty or condition of any kind. The Visitor/Registered User shall use the CollabWorx platform at Visitor/Registered User’s own risk.

b) The CollabWorx platform disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability.

c) The details and/or information provided by the Owner make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability with respect to the CollabWorx platform and/or the information contained on the CollabWorx platform for any purpose.

d) Any relation the Visitor/Registered User places on such information are therefore strictly at their own risk.

e) No advice or information whether oral or in writing received from the Visitor/Registered User of the CollabWorx platform shall create any warranty on behalf of the Owner in this regard.

f) If in case the payment is failed and the money is debited from the Visitor’s/Registered User’s account, then the Owner of the CollabWorx platform shall not be held responsible.

g) The Visitor/Registered User always agrees to indemnify, defend, and hold harmless the Owner from any suits, claims, losses, fines, penalties, damages, liabilities, demands, expenses including, but not limited to, reasonable legal expenses and fees arising out of and/or in connection with any violation and/or act and/or omission committed and/or alleged to be committed by the Visitor/Registered User.

15.INTELLECTUAL PROPERTY RIGHTS OWNERSHIP:

a) The Visitor/Registered User acknowledges and accepts that unless otherwise expressly stated, all the content on the CollabWorx platform including, but not limited to, images, software, graphics, photos, sounds, music, videos, designs, script, trade names, trademarks, logos, labels, service marks and/or any other proprietary marks are solely owned by the Owner (and its licensors, where applicable).

b) No information, content or portion uploaded on the CollabWorx platform shall be reproduced, duplicated, copied, sold, or otherwise exploited for any commercial purposes not expressly permitted by Owner. It is the policy of the CollabWorx platform and/or Owner to terminate in its sole discretion, accounts of Visitor/Registered User or in appropriate circumstances found repeatedly infringing the rights of Owner including but not limited to rights relating to copyright, trademark or other intellectual property rights.

c) The CollabWorx platform, its Services and all the content is protected by copyright, trademark and other relevant laws of India. In case of any violation, the Visitor/Registered User is liable to appropriate legal action.

d) These User Terms do not constitute a sale and do not convey to the Visitor/Registered User any rights of ownership in or related to the CollabWorx platform, or the Service, or any intellectual property rights owned by the Owner.

e) The Visitor/Registered User shall be solely responsible for any violations of any laws and for any infringements of any intellectual property rights caused by use of the Services or the CollabWorx platform.

f) The Visitor/Registered User may use information on the CollabWorx platform purposely made available by the Owner for downloading from the CollabWorx platform, provided that the Visitor/Registered User: (i) do not remove any proprietary notice language in all copies of such documents and make no modifications to the information; (ii) use such information only for its personal, non-commercial informational purpose and do not copy or post such information on any networked computer or broadcast it in any media; or (iii) do not make any additional representations or warranties relating to such information.

16.RELATIONSHIP BETWEEN THE PARTIES:

Visitor/Registered User by accessing the CollabWorx platform can discover customer leads. The CollabWorx platform and Visitor/Registered User are independent legal entities, and nothing contain in this will be construed to create an employer-employee, partnership, joint venture, an association of person, franchise, representative etc., relationship between the CollabWorx platform and Visitor/Registered User.

17.CONTACT OR ENQUIRY:

Any Visitor/Registered User can view the contact tab which provides the address office of the Company, Email, and contact number. Any visitor who wants to have any business enquire with the Owner shall provide information such as Name, Phone Number, E-mail ID, Pin code, and Nature of Business (Trading / Manufacturing/Services), etc. The Visitor/Registered User further has the option to send message. After filing this enquiry form the authorized team of the Owner will get in touch with the aforesaid Visitor/Registered User.

18.DATE OF RELEASE:

These Terms of Use are effective as of 28th May 2025. By accessing and using the CollabWorx platform, the Visitor/Registered User acknowledges that they have read, understood, and agree to be bound by these Terms of Use as of the effective date. The Owner reserves the right to amend or modify these Terms of Use at any time, and such changes shall take effect immediately upon posting on the CollabWorx platform. The Visitor/Registered User is encouraged to review these Terms periodically to stay informed of any updates.
